Terms and Conditions of Sale

1. Purpose and scope

These Terms and Conditions of Sale (the "Terms") govern the purchase, through the website www.roamrapid.com (the "Website"), of mobile data connectivity services via eSIM, sold by TRAVENTIX SOLUTIONS SL (Tax ID / CIF B88652029, registered address at Av. del Litoral, 12-14, 5th floor, Ciutat Vella, 08005 Barcelona; "RoamRapid" or "the Company"), aimed at international travellers. Products are offered exclusively through digital delivery, with no physical medium or postal shipment of any kind. Acceptance of these Terms is a mandatory condition for completing any purchase on the Website.

2. Parties and capacity

The Website and its products are aimed at adults with legal capacity to enter into contracts. By placing an order, the User (the "Customer") declares that they meet this requirement and that the information provided during the purchase process is truthful, accurate and complete.

3. Description of the services

RoamRapid sells mobile data eSIMs for use abroad, not including voice service or an associated phone number. Products are grouped into the following categories (final commercial naming subject to confirmation by the Product team):

  • Fixed-data plans ("Standard"): a defined data package (GB) valid for a specific number of days, with the option of automatic recharge ("auto top-up") when expressly contracted by the Customer.
  • Travel-day plans with a fair use policy ("Unlimited"/FUP): data access for the number of days contracted, subject to a Fair Use Policy ("FUP") that reduces speed or limits daily high-speed data once the threshold stated in the plan description at the time of purchase is exceeded. RoamRapid will clearly and visibly disclose, before purchase, the applicable FUP threshold and its effects, and will not use the term "unlimited" in a way that could mislead the Customer as to that limitation.
  • Regional plans: data coverage for a set of countries or a specific geographic region, under the same volume/day or FUP conditions described above, depending on the plan.
  • Subscription plans ("Subscription" / Global Plan): a recurring monthly data plan priced at €45.99/month, with Global coverage (120+ countries/regions), billed automatically on a monthly basis through Stripe Subscriptions until cancelled by the Customer. The Subscription includes a fixed monthly data allowance, as indicated in the plan description at the time of purchase; data usage beyond that allowance may be purchased as a top-up at the price shown on the Website at the time of the request. Enrolling in a Subscription requires a separate, explicit opt-in by the Customer, which is never pre-selected by default. The price, included data allowance and renewal date are confirmed to the Customer before completing the purchase and in the order confirmation email.

The characteristics, price, data volume, duration, geographic coverage, FUP threshold (where applicable) and top-up price of each plan vary by eSIM, destination and duration, and are shown on the Website for the specific plan selected at the time of purchase; those conditions, as displayed at that time, form an integral part of the contract.

4. Price and payment method

Product prices are stated in euros (EUR), inclusive of applicable taxes in accordance with current regulations. Payment is made by credit/debit card or other payment methods enabled on the Website (including Apple Pay), through the Stripe payment gateway. Subscription plans are billed on a recurring monthly basis through Stripe Subscriptions, renewing automatically on each monthly anniversary of the purchase date until the Customer cancels, as described in Clause 9.

Payment services are processed through Stripe, which acts solely as RoamRapid's payment processing platform. RoamRapid — TRAVENTIX SOLUTIONS SL — is the Merchant of Record for the sale, and the charge appearing on the Customer's bank statement will accordingly be shown under the name of RoamRapid or TRAVENTIX SOLUTIONS SL. The processing of card data within Stripe's platform is additionally governed by Stripe's own terms and privacy policy.

5. Purchase process and order confirmation

The purchase process involves: (i) selecting the destination and plan; (ii) entering the email address to which the eSIM will be sent; (iii) reviewing the order and accepting these Terms; (iv) payment. Once payment is confirmed, the Customer will receive an order confirmation email, followed by an email containing the eSIM activation QR code and installation instructions for iOS and Android devices (attached as a PDF). eSIM provisioning is automated; should a technical incident occur after payment has already been confirmed, the order may remain in a pending-provisioning status, with the Customer informed and the incident resolved by RoamRapid as promptly as possible.

6. Delivery and technical requirements

"Delivery" of the product consists of making the activation QR code and instructions available by email; no physical medium is ever shipped. It is the Customer's sole responsibility to verify, prior to purchase, that their device is eSIM-compatible and unlocked (free of any carrier lock), so as to be able to install an eSIM from a provider other than their regular carrier. RoamRapid provides a compatibility checker on the Website for guidance purposes only.

Coverage and connection quality depend on local third-party mobile networks at each destination and on the Customer's own device, and RoamRapid therefore cannot guarantee specific coverage or speed at all times and in all locations.

The eSIM and the QR code issued to the Customer are personal and non-transferable, for the exclusive use of the Customer who placed the order; their resale or transfer to third parties is not permitted.

7. Customer support

The Customer may direct any query, issue or request through the support channel available on the Website info@roamrapid.com. RoamRapid will endeavour to handle requests as diligently as possible.

In accordance with Spanish consumer protection regulations, Customers resident in Spain may request official complaint forms ("hojas de reclamaciones") from RoamRapid through the support channel referred to above.

8. Right of withdrawal

In accordance with Article 103, letters (a) and (m), of the Spanish Consolidated Consumer Protection Act (Royal Legislative Decree 1/2007), the right of withdrawal does not apply to: (a) the supply of services, once fully performed, where performance began with the Customer's prior express consent and acknowledgment that, once the contract has been fully performed, the right of withdrawal will be lost; and (b) the supply of digital content not provided on a tangible medium, where performance began with the Customer's prior express consent, with the Customer being aware that this results in the loss of the right of withdrawal.

During the purchase process, the Customer must expressly tick a box by which they (i) request immediate commencement of the service before the 14-calendar-day legal withdrawal period has elapsed, and (ii) acknowledge that they thereby lose their right of withdrawal once the eSIM has been activated or made available via the QR code. Without this express consent, the order will not be activated.

9. Refund and cancellation policy

Notwithstanding the above, RoamRapid may grant, on a commercial basis and not as recognition of a legal right of withdrawal, a full refund of an order where: (i) the request is made before the Customer activates/redeems the QR code; or (ii) a technical failure attributable to RoamRapid or its wholesale provider is shown to have prevented effective use of the contracted service. Refund requests must be submitted through the support channel referred to in Clause 7, providing the order number and purchase details. No refund will be made once data consumption under the plan has begun, except where attributable to RoamRapid.

Subscriptions may be cancelled by the Customer at any time, with effect from the end of the then-current monthly billing period, through the self-service Customer/Billing Portal made available in the Customer's private area; the cancellation process is at least as straightforward as the sign-up process. No partial refund is made for the remainder of a billing period already paid for, save as required by applicable law.

Where RoamRapid increases the price of an active Subscription, it will notify the Customer with reasonable advance notice before the change takes effect; the Customer may cancel the Subscription before the new price applies, without penalty.

10. Liability

RoamRapid's liability is limited to the correct provision of the contracted service on the terms described on the Website. RoamRapid shall not be liable for: (i) lack of coverage or degraded service attributable to third-party mobile networks at the destination country; (ii) the Customer's device being incompatible with eSIM technology or locked by a carrier; (iii) improper or negligent use of the service by the Customer. Except in cases of wilful misconduct or gross negligence, RoamRapid's maximum liability to the Customer shall not exceed the amount actually paid for the relevant order.

RoamRapid additionally does not guarantee the availability, continuity or error-free operation of the Website itself, although it will take reasonable measures to resolve or prevent any such issues as diligently as possible, and shall not be liable for damages arising from the Website's unavailability or lack of continuity, or from unauthorised third-party interference beyond its control.

11. Intellectual property

The domain roamrapid.com, the RoamRapid trademark, and the designs, texts, images, logos, source code and other content of the Website are owned by RoamRapid or by third parties who have authorised their use, and are protected under intellectual and industrial property law. Their reproduction, distribution, public communication or transformation, in whole or in part, without RoamRapid's prior written authorisation, is prohibited. RoamRapid reserves the right to take any legal action it deems appropriate against infringements of these rights.

12. Amendment of the Terms

RoamRapid may amend these Terms at any time; the version in force at the time each order is placed shall apply. Orders already confirmed shall be governed by the Terms accepted at the time of purchase.

13. Governing law and dispute resolution

These Terms are governed by Spanish law. For any dispute, and without prejudice to any jurisdiction that may mandatorily apply to a consumer Customer under applicable law, the parties submit to the competent Courts in accordance with the law. In accordance with Regulation (EU) No 524/2013, Customers are informed of the existence of the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/.

14. Order verification and fraud prevention

RoamRapid reserves the right to refuse, cancel or suspend an order, before or after activation, where there are reasonable grounds to suspect fraud, invalid or unauthorised payment details, or any other abuse of the Website or the service. Where an order is cancelled on this basis after payment has been taken, RoamRapid will refund the amount paid, save where applicable law permits withholding it.

15. Force majeure

RoamRapid shall not be liable for any delay or failure in performing its obligations under these Terms resulting from circumstances beyond its reasonable control, including outages or failures of third-party mobile networks, internet infrastructure, the wholesale connectivity provider's systems, or Stripe's payment systems, as well as other events of force majeure recognised under Spanish law.

16. Severability

Should any clause of these Terms be declared void, invalid or unenforceable, in whole or in part, by a competent court or authority, the remaining clauses shall continue in full force and effect.

17. Website access and use

Access to the Website is free of charge, except in relation to the purchase of products, the cost of which is indicated in each case. The User agrees to make appropriate and lawful use of the Website, and shall refrain from: (i) using it for fraudulent or unlawful purposes; (ii) introducing viruses or any other element capable of damaging the Website or the systems of RoamRapid or third parties; (iii) attempting to access other users' accounts or restricted areas of the IT systems; (iv) reproducing, copying, distributing or commercially exploiting the Website's content without express authorisation. Where the Website contains links to third-party sites, RoamRapid assumes no responsibility for the content or services offered on them.

18. Prevailing language

These Terms may be made available in several languages for the Customer's convenience. In the event of any discrepancy between versions, the Spanish-language version shall prevail, given that RoamRapid and the applicable law are Spanish.
